Property Manager Terms of Service

These Terms of Service ("Terms") govern your use of Permit Ready Pros Consulting Inc. ("PRP", "we", "our", "us") services as a property management company or individual property manager operating short-term rental units on behalf of underlying property owners in the City of Toronto.
Individual short-term rental hosts are governed by the separate Host Terms of Service.
Plain-language summary. These Terms cover you if you operate STR units on behalf of owners. PRP bills a flat $25 per unit per month with a $250/month minimum, via Stripe (credit/debit card). You can add units self-serve in the portal. Bands by portfolio size: Starter → Growth → Pro → Enterprise. A one-time onboarding applies to new portfolios.
1. Parties & Authority
You ("Client", "you", "your") represent and warrant that you have the legal authority to enter into these Terms on behalf of the property owners whose units are included in your portfolio.
2. Packages, Services & Fees
PRP prices portfolios at a flat $25 per unit per month, with a $250 / month minimum. Your package band is set by portfolio size and governs feature depth and service level. All fees are in Canadian dollars (CAD), billed monthly per enrolled unit, and exclude HST.

Feature inclusions per package are listed at permitreadypros.com/property-managers. The package and unit count selected at checkout govern the scope of services to which you are entitled.
One-Time Onboarding
New portfolios begin with a one-time onboarding engagement — portfolio review, per-unit and lane setup, document collection, and calendar sync — priced by band. Billed once via Stripe (CAD, excl. HST).

Managed Compliance (optional add-on)
Portfolios that want PRP to actively run day-to-day compliance work on their behalf may add Managed Compliance, priced per unit by each unit’s annual booking revenue ($29–$199 / unit / month). The per-unit tier is assessed and confirmed with you on a setup call before billing begins; it is not charged at self-serve checkout. Even with Managed Compliance, PRP does not act as a licensed property manager, does not file MAT, and does not act as your agent with the City — the registered permit holder for each unit remains responsible for all filings and communications (see Sections 6 and 9).
3. Billing & Payment
- Recurring fees are billed monthly in advance, calculated as your enrolled unit count × $25 per unit, subject to the $250 / month minimum (so portfolios of 1–10 units pay the $250 floor). PRP accepts payment via Stripe (credit/debit card).
- Subscriptions auto-renew monthly unless you cancel before the current month ends.
- The one-time onboarding fee (Section 2) is charged once at the start of the engagement and does not recur.
- If a payment fails, your subscription is marked past_due. Stripe automatically retries; if all retries fail, portal access is paused (no data is deleted).
- Enterprise pricing is governed by a separate written proposal confirmed by PRP prior to invoicing. Enterprise clients may be invoiced manually outside Stripe at PRP's discretion.
- You may manage payment method, view invoices, change package, or cancel via the Stripe-hosted Customer Portal, accessed from your account page.
4. Portfolio Scope & Unit Changes
The portfolio covered under these Terms is defined at time of purchase based on your enrolled unit count. You may change the portfolio size as follows:
- Adding units (within your current package's band): You can self-serve add units one at a time from the client portal. Stripe pro-rates the additional $25/unit cost for the remainder of the current month and charges your payment method immediately (subject to the $250 monthly minimum).
- Adding units (above your current band): If your unit count would exceed the package's band ceiling (e.g., adding an 11th unit on Starter), you move to the next band automatically. The portal surfaces this when it happens.
- Removing units: Reductions take effect at the next monthly renewal. No prorated refunds are issued mid-month, and the $250 monthly minimum still applies.
- Tier changes (cross-band): Bands follow your unit count automatically; any price change applies from the next monthly cycle, prorated by Stripe where applicable.
- Portfolio intake: PRP conducts a portfolio review at onboarding and on a recurring basis to assess compliance status across all units.
5. Self-Serve Portal Access
Active subscribers receive access to a secure web portal at permitreadypros.com/client-portal.html for the duration of their subscription. The portal lets you:
- View your current package, unit count, renewal date, and portfolio compliance status
- Add, edit, or remove unit records (within your enrolled unit count)
- Upload documents per unit (permit certificate, ID, listing screenshots, MAT receipts)
- Track whole-home 180-night usage, or private-room activity & overcapacity, per unit and per lane
- Connect iCal feeds per unit for automated stay tracking (Portfolio Growth and above — see Section 7)
- Confirm Municipal Accommodation Tax filings per unit (Portfolio Growth and above)
- Review portfolio-wide risk flags (per package)
- Manage billing and view invoices via the Stripe Customer Portal
- Invite team members (seat counts vary by package)
6. Scope of Services
PRP provides a portfolio compliance platform (software) plus consulting and advisory services for your managed portfolio. Specific inclusions vary by package.

- Per-unit document hub + checklist
- Stage tracker + exposure echo per unit
- Risk flagging
- Portfolio reports (compliance, document health)
Platform additions (Portfolio Growth and above):
- Portfolio-wide compliance heatmap + unit status tracking
- MAT guidance + template library
- Lifecycle calendar (renewals, MAT, inspections)
- Portfolio alerts
Platform additions (Portfolio Pro and above):
- MAT preparation workspace + per-unit filing workflow
- Cross-platform booking overlap detection
- 180-night forecast + stay tracker per unit
- Investigations workspace
- Internal reports (stay utilization, overlap exposure, investigation activity, operational activity)
- Team access seats
Platform additions (Enterprise Partnership):
- White-label portal option
- Custom reports + portfolio strategy
- AI executive summary + forecast reports (overlap, utilization, risk)
- Full portfolio risk management
- Advanced team permissions + operational settings
Service / consulting (varies by package — see public packages page):
- Portfolio intake review and risk assessment
- Per-unit permit application support
- STR eligibility assessments per unit
- Principal residence compliance guidance
- Listing compliance review across managed units
- Municipal by-law education and advisory
- MAT guidance and template communications
- Light violation guidance (Growth and above)
- Violation response support, reinspection prep, dedicated account contact, quarterly compliance reviews, ongoing risk flagging (Portfolio Pro and above)
- Escalation support, ongoing compliance monitoring, dedicated MAT review, implementation + onboarding project (Enterprise Partnership)
PRP does not submit applications, does not act as a licensed property manager, does not file MAT, and does not act as your agent with any municipal authority.
7. Calendar (iCal) Stay Tracking — Optional, Per Unit
Property managers on Portfolio Growth, Portfolio Pro, and Enterprise Partnership packages may optionally connect iCal calendar feeds (from any platform that exposes one) per unit so PRP can automatically track booked nights for each unit's lane — against the City of Toronto's 180-night cap for whole-home units, or as room activity and overcapacity signals for private-room units.
- This feature is opt-in per unit.
- Calendar URLs are encrypted at rest using AES-256.
- PRP fetches each iCal feed periodically; we never log into your booking platform, scrape your dashboard, or access guest details, payouts, or messages. iCal feeds contain only date ranges and a generic summary line.
- You may disconnect a calendar at any time from the portal.
- You are responsible for obtaining the necessary consent from each underlying property owner before sharing their iCal URL with PRP.
8. Data & Third-Party Owner Information
Delivering services under these Terms may require PRP to receive personal and property information about third-party property owners. You agree to:
- Obtain all necessary consents from underlying property owners before sharing their information with PRP
- Ensure data sharing complies with PIPEDA and Ontario's privacy framework
- Notify PRP promptly if a property owner withdraws consent or requests data deletion

9. Municipal Accommodation Tax (MAT) Support
Where included in your package, PRP may provide:
- Filing deadline reminders for managed units
- General reporting guidance and template communications
- A pre-filled MAT remittance confirmation email tool — gated to plans with MAT support AND units with valid, Approved permits on file
- Review of client-provided MAT data for completeness (not accuracy)
PRP does not file MAT returns and does not act as your agent with the City. All filings and payments remain the sole responsibility of the registered permit holder for each unit.
10. White-Label & Co-Branding (Enterprise Only)
Enterprise Partnership clients may request a white-label or co-branded arrangement under separate written addendum. PRP retains all rights to its proprietary compliance methodologies, templates, and advisory materials. You may not represent PRP's services as your own without an executed white-label addendum. PRP reserves the right to withdraw white-label access if services are misrepresented.
11. Admin Notifications & Account Reviews
PRP's admin staff receive automated notifications when:
- Your portfolio approaches or crosses your package band ceiling (e.g., 10/10 on Starter)
- A unit hits the 180-night cap or is approaching it (when iCal stay tracking is connected)
- An iCal sync fails repeatedly (when connected)
- A MAT filing is past due (when MAT support is included)
These notifications enable proactive support and may result in PRP reaching out by email to recommend an upgrade, address a compliance concern, or schedule a review. You consent to receiving these communications as part of the service.
12. No Guarantee of Outcome
PRP does not guarantee permit approval, renewal, or compliance outcomes for any unit. All final decisions are made by the City of Toronto. Regulatory requirements may change at any time.
13. Client Responsibilities
- You have legal authority to engage PRP on behalf of each property owner in the portfolio
- All information provided regarding each unit is accurate and complete
- You are solely responsible for: submitting permit applications on behalf of each unit's registered holder; communicating with the City; ensuring each underlying property owner maintains compliance; obtaining consent from owners for data sharing with PRP
- PRP is not responsible for the actions, omissions, or non-compliance of underlying property owners
14. No Legal, Tax, Financial, or Property Management Advice
PRP is not a law firm, accounting firm, or licensed property management company. All services are informational and advisory only.
15. Limitation of Liability
To the fullest extent permitted by law, PRP shall not be liable for:
- Permit denial, suspension, or revocation for any unit
- Fines, penalties, or enforcement actions against you or any property owner
- Loss of income or rental revenue for any managed unit
- Platform delistings (Airbnb, Booking, etc.)
- Any decisions made by the City, regulatory bodies, or third parties
- Losses arising from the actions or omissions of underlying property owners
- Service interruptions caused by third-party processors (Stripe, Supabase, Resend, Netlify)
16. Indemnification
You agree to indemnify and hold harmless PRP from any claims arising from your or any property owner's non-compliance, misrepresentation, unauthorized data sharing, or actions taken based on PRP guidance.
17. Cancellation & Refund Policy
- Client-initiated cancellation: You may cancel at any time via the Stripe Customer Portal or by emailing info@permitreadypros.com. Cancellation stops future renewals and takes effect at the end of the current month. No refund is issued for the remainder of that month.
- One-time onboarding: Non-refundable once the onboarding engagement has commenced.
- Band changes: Follow your unit count automatically; price changes apply from the next monthly cycle, prorated by Stripe where applicable.
- Unit additions: Charged via Stripe immediately, prorated for the remainder of the current month.
- Unit removals: Take effect at the next monthly renewal.
- PRP-initiated cancellation: PRP may terminate if you provide false or misleading information regarding portfolio size or unit eligibility, or engage in conduct that is abusive, unlawful, or contrary to these Terms. A prorated refund may be considered at PRP's sole discretion.
18. Privacy & Data Protection
PRP collects and handles personal information in accordance with PIPEDA and Ontario's privacy framework. Where you provide PRP with information about underlying property owners, you warrant you have obtained the necessary consents.
Key processors:
- Supabase (US) — database, authentication, document storage
- Stripe (US) — billing, subscriptions, Customer Portal
- Resend (US/EU) — transactional email
- Netlify (Global) — site hosting
Client and owner data is retained for a minimum of two (2) years after service ends to preserve compliance records that may be required for City inspections or legal proceedings. Billing records are retained for seven (7) years for Canadian tax compliance.

19. Force Majeure
PRP shall not be liable for failures caused by circumstances beyond our reasonable control, including regulatory changes, natural disasters, pandemics, government-ordered shutdowns, or third-party platform outages. If services cannot be resumed within 60 days, either party may terminate with written notice.
20. Dispute Resolution
- Direct negotiation in good faith for 14 days from written notice.
- Mediation in Ontario if unresolved; cost shared equally.
- Legal proceedings in the courts of Ontario, which have exclusive jurisdiction.
21. Electronic Signatures & Communications
By creating an account, completing checkout, or otherwise indicating acceptance, you electronically agree to these Terms on behalf of your company and your managed portfolio. Electronic acceptance is legally binding under Ontario's Electronic Commerce Act, 2000.
22. PRP Growth Capital™ — Financing Referrals (Optional)
PRP Growth Capital™ is an optional referral service that introduces interested property managers and portfolio operators to independent, third-party capital providers. It is not part of your compliance subscription and carries no additional charge to you. Participation is entirely voluntary and opt-in.
- PRP is not a lender, mortgage brokerage, loan or credit broker, or financing adviser. PRP does not lend money, extend credit, arrange or negotiate loans or mortgages, or solicit or accept applications on a lender's behalf within the meaning of Ontario's Mortgage Brokerages, Lenders and Administrators Act, 2006 or any other Canadian financial-services legislation.
- PRP's role is limited to making introductions. All financing products, eligibility decisions, approvals, interest rates, fees, and terms are determined solely by the independent capital provider and vary based on the applicant's qualifications.
- PRP does not guarantee that you or any owner will be approved for, or offered, any financing.
- PRP may receive a referral fee or other compensation from a capital provider when an introduction results in funding. This does not change the fees you pay PRP for compliance services.
- Nothing provided through Growth Capital is financial, investment, credit, accounting, or legal advice. Obtain independent professional advice and review any financing agreement carefully before signing.
- If you choose to apply, you authorize PRP to share the application information you provide with the relevant capital provider(s) so they can assess the request, and you warrant you have any consent needed where the application concerns an underlying owner (see our Privacy Policy). PRP does not perform credit checks.
23. Governing Law & Independent Contractor
These Terms are governed by the laws of the Province of Ontario, Canada. PRP operates as an independent contractor. Nothing in these Terms creates an employment, agency, or partnership relationship between PRP and the Client.
24. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated by email and posted to this page with an updated effective date. Continued use of PRP services after a change indicates acceptance.
